Terms of Use

By accessing or using the Site, including by sending us an inquiry, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, please do not use the Site. If you use the Site on behalf of an organization, you confirm that you are authorized to accept these terms for it.

• Privacy Policy — what we collect through the Site and how it is used and kept

The Site describes Vantyx, our approach, our services, and examples of our work. Its content is provided for general information only. It is not legal, financial, accounting, tax, or other professional advice, and it is not a recommendation for any particular organization or situation.

Outcomes described on the Site, including those in case studies and Selected Work, reflect specific engagements and depend on each client’s circumstances. They are illustrative, and we do not promise that any project will achieve the same results.

Using the Site, reading its content, or contacting us through it, including through the Start Your Blueprint form, does not create a client, consulting, fiduciary, or other professional relationship between you and Vantyx, and does not oblige either of us to anything. An engagement begins only when both parties sign a written agreement.

We may decline any inquiry or project at our discretion, and we are not obliged to respond to every message. Please do not send us confidential or proprietary information until a written agreement or non-disclosure agreement is in place.

The Site and everything on it, including text, design, graphics, illustrations, photographs, code, and the selection and arrangement of its content, are owned by Vantyx or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Vantyx’s proprietary methodologies and frameworks, including the Vantyx Transformation System™, its five foundations (Strategy, People, Operations, Data & Insight, and Technology), our processes, templates, and tools, and Tailwind OS, are the intellectual property of Vantyx. Their description on the Site does not grant you any right to use, reproduce, or adapt them.

We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and to print or save pages for your own evaluation of our services. Any other use, including reproduction, distribution, modification, public display, or commercial use of Site content, requires our prior written permission.

Vantyx, the Vantyx logo, Vantyx Transformation System, and Tailwind OS are trademarks or trade names of Vantyx. Other names and marks on the Site belong to their respective owners. Nothing on the Site grants any license to use any trademark.

You agree to use the Site lawfully and not to:

• Interfere with the Site’s operation or security, or attempt to bypass its protections, including the rate limit and human check on the inquiry form.
• Use bots, scrapers, or other automated tools to access, harvest, or bulk-download Site content, or to send automated submissions.
• Submit anything unlawful, harmful, deceptive, defamatory, or infringing, or impersonate any person or organization.
• Copy, frame, mirror, or republish the Site or any part of it except as these terms allow.
• Use the Site to send unsolicited commercial messages or to market to Vantyx or its clients.

We may suspend or block access to the Site for anyone who breaches these terms, and we may remove any content you submit.

The Site is delivered with the help of third-party services, such as hosting and spam protection, and it links to websites we do not operate, including client websites in our Selected Work and the providers named in our Privacy Policy. We do not control those services and sites and are not responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their own terms.

Client names, logos, and work shown on the Site belong to those clients and appear with their permission. Their appearance describes work we performed and is not an endorsement of Vantyx by them, or of them by us.

The Site discusses AI solutions, automation, software, and other technologies in general terms. Descriptions of what such technologies can do are illustrative. Whether and how a particular technology fits an organization depends on its circumstances and is determined only through an engagement.

Some Site content may be prepared with the assistance of AI tools and is reviewed by Vantyx before publication. AI-assisted content can nonetheless contain errors or omissions, and you should not rely on Site content as a substitute for advice specific to your situation.

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, Vantyx disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site or the servers that deliver it are free of harmful components.

To the fullest extent permitted by law, Vantyx and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, however caused and under any theory of liability, even if advised of the possibility of such damages.

Any aggregate liability of Vantyx arising out of or related to the Site is limited to the fullest extent permitted by applicable law. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot be limited by law.

You agree to defend, indemnify, and hold harmless Vantyx and its owners, employees, and contractors from claims, damages, liabilities, and reasonable expenses, including attorneys’ fees, to the extent they arise from your breach of these terms, your misuse of the Site, or content or information you submit through the Site that infringes another party’s rights or violates the law.

These terms, and any dispute arising out of or related to them or the Site, are intended to be governed by the laws of the State of North Carolina, without regard to its conflict-of-law principles.

Any legal action relating to these terms or the Site is intended to be brought in the courts serving Mecklenburg County, North Carolina, and you consent to their jurisdiction and venue.

We may update these terms from time to time. The current version is always available at this address, with its effective date at the top. Continuing to use the Site after a change takes effect means you accept the updated terms.

These terms, together with the Privacy Policy, are the entire agreement between you and Vantyx about use of the Site and supersede any prior understanding on that subject. If any part of these terms is found unenforceable, the remainder stays in effect and the unenforceable part is enforced to the fullest extent permitted. Our not enforcing a provision is not a waiver of it. You may not assign your rights under these terms; we may assign ours in connection with a sale or reorganization of our business.
